These Terms and Conditions (“Terms”) govern your use of the Vocally mobile application (“App”), operated by Vocally UG, registered in Germany (“we”, “us”, “our”). By downloading, accessing, or using the App via the Apple App Store, you agree to these Terms.

If you do not agree, you must not use the App.

1. Scope of Services

Vocally is an AI-powered language learning application designed to support speaking practice, pronunciation improvement, and conversational skills through interactive features.

The App may include:

AI-generated conversations
Speech analysis and feedback
Personalized learning paths
Progress tracking

We reserve the right to modify or discontinue features at any time.

2. Eligibility

You must be at least 16 years old to use this App. If you are under 18, you must have parental or legal guardian consent.

3. Account Registration

To access certain features, you may be required to create an account.

You agree to:

Provide accurate and complete information
Keep your login credentials secure
Notify us immediately of unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payments

Some features may require a paid subscription.

Payments are processed via Apple’s App Store
Subscriptions renew automatically unless canceled
Pricing is displayed clearly before purchase

Refunds are handled according to Apple’s policies.

5. Data Protection and Privacy (GDPR Compliance)

We process personal data in accordance with:

AI outputs may not always be accurate or appropriate
AI-generated content is not a substitute for professional instruction

We implement safeguards to:

Reduce harmful or biased outputs
Prevent misuse of the system
Monitor system performance

Users must not rely solely on AI outputs for critical decisions.

7. Acceptable Use

You agree not to:

Use the App for unlawful purposes
Upload harmful, abusive, or offensive content
Attempt to reverse engineer or disrupt the system
Misuse AI features (e.g., generating harmful content)

Violation may result in suspension or termination.

8. Intellectual Property

All content, including:

Software
AI models
Design and branding

is owned by or licensed to us and protected under applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App.

9. User-Generated Content

If you upload or generate content:

You retain ownership
You grant us a license to process and display it for service functionality

You are responsible for ensuring your content complies with applicable laws.

10. Limitation of Liability

To the extent permitted by German law:

We are not liable for indirect or consequential damages
Liability for intent and gross negligence remains unaffected
Liability under the German Product Liability Act is unaffected

The App is provided “as is” without guarantees of uninterrupted availability.

11. Third-Party Services

The App may integrate third-party services (e.g., analytics, payment providers).

We are not responsible for third-party content or practices.

12. Termination

We may suspend or terminate access if:

You violate these Terms
Required by law
Security risks are identified

You may terminate your account at any time.

13. Changes to Terms

We may update these Terms from time to time.

Users will be notified of significant changes. Continued use constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Germany.
